Welcome to Primoris Draft ("Primoris," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, primorisdraft.com (the "Site"), and the AI-powered intellectual property search and analysis services provided therein (the "Services").

By creating an account, accessing the Site, or using the Services, you agree to be bound by these Terms.

1. Description of Services

Primoris provides an AI-driven platform for conducting preliminary, non-binding prior art and trademark clearance searches. The Services are intended to be a supplemental tool for legal professionals, inventors, and entrepreneurs.

2. AI-Generated Content & Disclaimer

THE SERVICES DO NOT CONSTITUTE LEGAL ADVICE.

The reports, risk assessments, and all other output generated by the Primoris AI engine ("AI Content") are for informational purposes only. The AI Content is generated based on automated searches of publicly available data from the USPTO and other sources, and may contain errors, omissions, or inaccuracies.

Primoris is not a law firm, and no attorney-client relationship is formed by your use of the Services. You are solely responsible for independently verifying all AI Content and consulting with a qualified attorney for any legal advice or decisions.

3. User Accounts & Responsibilities

You must be at least 18 years old to create an account.
You are responsible for maintaining the confidentiality of your account credentials.
You agree not to upload any documents that contain highly sensitive, confidential, or personally identifiable information that you are not authorized to share. Refer to our Zero Data-Retention Policy for how we handle your data.

4. Payments, Tokens, and Refunds

All payments for search tokens are processed through our third-party payment processor, Stripe. By purchasing tokens, you agree to their terms and conditions.

Search tokens are non-refundable once used. A token is considered "used" once an AI analysis has been successfully initiated. In the event of a technical failure on our platform where a report is not generated, our system is designed to automatically refund the token to your account.

5. Intellectual Property

You retain all ownership rights to the documents and materials you upload to the Service. We retain all ownership rights to the Site, the Services, and the underlying AI models and technology.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRIMORIS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR USE OF THE SERVICES; (b) ANY ERRORS OR OMISSIONS IN THE AI CONTENT; (c) ANY DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON THE AI CONTENT.

7. Governing Law

These Terms shall be governed by the laws of the State of Washington, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Site. Your continued use of the Services after any such change constitutes your acceptance of the new Terms.
