Terms of Service

Welcome to Primoris Draft. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OnePoint CTO, LLC, d/b/a Primoris Draft ("Primoris," "we," "us," or "our"). These Terms govern your access to and use of our platform, website (primorisdraft.com), and the AI-powered search and analysis services provided therein (collectively, the "Services").

1. ACCEPTANCE OF TERMS

By creating an account, accessing our platform, or using any part of the Services, you affirm that you are at least 18 years of age and that you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

2. DESCRIPTION OF SERVICES

Primoris provides an AI-driven platform that produces preliminary patent, trademark and design screening reports. Our platform uses Large Language Models (LLMs) and automated queries of public databases and web sources (for example USPTO and EPO data, scholarly sources and web search). Reports are prepared as background jobs and delivered to your account and by email, usually within one hour; sometimes up to 24 hours. Delivery time depends on the availability of data sources and the complexity of the search.

Scope limits: Reports cover only the sources and search types described for the product you buy. They do not cover every database, jurisdiction, unpublished application, common-law use, or foreign registry, and they are not an exhaustive search.

3. NOT LEGAL ADVICE (CRITICAL DISCLAIMER)

PRIMORIS IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE.
  • Screening Report, Not a Legal Opinion: Primoris reports are the output of automated search and AI analysis. They identify candidate risks and evidence. They are not legal opinions, patentability, validity, infringement or registrability determinations, or guarantees. The absence of a reported conflict does not mean no conflict exists, and a reported candidate is not necessarily a legal obstacle.
  • No Attorney-Client Relationship: Your use of the Services does not create an attorney-client relationship between you and Primoris, and does not create any privilege or confidentiality obligation beyond those in these Terms and our Privacy Policy.
  • AI-Generated, May Contain Errors: Reports are AI-generated and may be inaccurate, incomplete or out of date, and may omit relevant references.
  • Web Results Are Unverified Candidates: Items found on the open web, including dates taken from web archives, are unverified candidates. We do not guarantee that they are authentic, accurate, or qualify as prior art.
  • Requirement for Professional Review: You are solely responsible for independently verifying all information and for consulting a qualified intellectual property attorney before any filing, product launch, or other legal or business decision.

4. USER ACCOUNTS & SECURITY

  • Registration: You must provide accurate and complete information during registration.
  • Account Security: You are responsible for safeguarding your password and for all activities that occur under your account.
  • Password Requirements: We enforce strict password complexity requirements (minimum 8 characters, containing uppercase, lowercase, numbers, and symbols) to protect your intellectual property data.

5. PAYMENT AND REFUNDS

  • Pay Per Search: Each search is purchased individually at checkout. The price is shown before you purchase. There are no prepaid credits or tokens.
  • No Refunds Once Started: All purchases are non-refundable once the search has started, including where you are dissatisfied with the content of the report or the search did not find what you expected.
  • Failure to Deliver: If we fail to deliver a report (the job fails, or is held for more than 24 hours and cannot be completed), you will be refunded in full to your original payment method.
  • Vouchers: Vouchers and promotional codes have no cash value, are not transferable, and may be limited, expire or be withdrawn.

6. INTELLECTUAL PROPERTY RIGHTS

  • User Content: You retain all ownership rights to any source documents, claims, or descriptions you upload.
  • Platform Rights: Primoris retains all rights, title, and interest in and to the platform, including its software, AI prompts, report templates, and branding.
  • Feedback: Any feedback provided regarding the platform may be used by Primoris without restriction or compensation.

7. DATA RETENTION & PRIVACY

Files you upload are written to a private server volume for processing and are deleted when your report completes or the job fails. If a job is held or a deletion fails, a file may remain longer; an automated cleanup removes leftover files after about 48 hours. Generated reports are stored in our database until you delete them or close your account, and are included in encrypted backups kept for a limited period. Text from your documents is sent to third-party processors as described in our Privacy Policy and Data Retention Policy.

8. PROHIBITED USES

You agree not to use the Services to:

  • Reverse-engineer the Primoris AI logic.
  • Upload documents you do not have the legal right to share.
  • Automate search queries via scripts or bots without explicit authorization.

9. LIMITATION OF LIABILITY

THE SERVICES AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMORIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST FILINGS OR RIGHTS, OR BUSINESS DECISIONS, ARISING OUT OF YOUR USE OF THE SERVICES OR RELIANCE ON AI-GENERATED REPORTS. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SEARCH GIVING RISE TO THE CLAIM.

10. GOVERNING LAW

These Terms are governed by the laws of the State of Washington. Any disputes shall be resolved in the courts located in King County, Washington.
